How to register a foreign company in Tanzania using BRELA ORS

A foreign company is a company that is registered in Tanzania as a branch of a company incorporated in another country.

That means, you must have a company registered in another country, and the foreign company you register in Tanzania is just a branch. The procedures used to register a foreign company differs slightly to those used to register a local company. Below are the steps you need to follow to register a foreign company with BRELA in Tanzania using BRELA ORS.

1. Navigate to BRELA ORS page and login

Open you browser (preferably chrome on a computer) and visit https://ors.brela.go.tz/um/login to login to BRELA ORS. In case you don’t have ORS account, then open this link to learn how to create ORS account.

2. Click New e-service to start your BRELA ORS application

Click new e-service to start the registration process.

3. Then click company to load company services in the BRELA ORS

4. Select registration of a new company

Select registration of a new company and then click proceed.

5. Select foreign company BRELA ORS service

Select foreign company and click proceed.

6. Fill in the foreign company registration form

Below are the steps explaining how to fill BRELA’s foreign company registration form.

Application data

This part holds key information of the application and there is nothing you need to fill here.

Applicant details

This part shows your details and the only thing you should do here is to fill in the representation statement field. Representation statement is like telling BRELA whether you are the director or an agent.

Information about the company

Here you need to provide name of the company and the accounting date. Name of the company should be exactly as it appears in the registration certificate you have for the company abroad. Remember that a foreign company is like a branch of the company registered abroad.

Business address

You need to provide the address details of the office you intend to use for the company in Tanzania. If you have not rented an office yet, you can provide temporary address and change it later after renting the office. The law allows you to change anything related to the company as long as you follow the proper procedures.

Business activities

Here you need to specifically provide the details of the business activities you intend to do in Tanzania. They should be as per the  International Standard Industrial Classification of All Economic Activities (ISIC).

Here you should provide details of the company abroad including registration number, date, and details of the address.

☑ Directors details

Here you should provide details of the directors of the company abroad.

☑ Details of the company secretary

Here you should provide details of the company secretary.

☑ Local representatives

Here you should provide details of the persons that will be representing the company in Tanzania.

☑ Charges against the company

Here you should provide details of the charges against company’s assets.

☑ Persons that can update company details

Here you should indicate persons who can update data of the company. Upon approval of the application, the persons you specify will get emails from BRELA of their new privileges. You are also required to indicate one person who will be empowered to grant or revoke the right to update data of the company. That person can take care of all representatives of the company.

7. Upload required documents

Once you have filled all the details indicated in step 6 above, you should click proceed and then take a minute or two waiting for the system to generate consolidated form. After the short moment of waiting, click refresh and system will show download option in the printouts section (see second part in the image below).

You should download the form, sign, fill form 434, scan all the documents and upload. You can click proceed after uploading all the required documents and ticking the accept terms and conditions checkbox.

8. Make payment

You will then get a page showing the amount you should pay as fee for the registration of a foreign company. The fee is USD 1,190 made up of USD 750 registration fee and USD 440 filing fee.

You will get a confirmation email notifying you that your application has been submitted. You will need to check emails regularly after the submission.
